Washa Software Terms of Use

These Terms of Use (the "Terms") set out the conditions for using the software "Washa" provided by Teleport Inc. ("we", "us" or "our"), including the iPhone, Mac, Android and Windows apps and the web version (the "Software"). Anyone who uses the Software (a "User" or "you") must agree to these Terms before using the Software.

Article 1 (Scope)

  1. These Terms apply to every relationship between us and you concerning the use of the Software.
  2. Any individual notices or rules we show in the Software or on our website form part of these Terms.
  3. If these Terms conflict with an individual notice or rule, these Terms prevail unless the individual notice or rule expressly states otherwise.

Article 2 (Definitions)

In these Terms:

  • "Recording Data" means the audio and video data you record or import with the Software.
  • "Processing Results" means the transcripts, speaker segments, speaker names, voice features, glossaries and other data the Software creates from Recording Data.
  • "User Data" means Recording Data, Processing Results and any data you enter into the Software.
  • "External Services" means services provided by parties other than us that the Software uses only when you choose to.

Article 3 (License)

  1. On condition that you comply with these Terms, we grant you a non-transferable, non-sublicensable, non-exclusive right to use the Software on your own devices or account.
  2. Third-party models and libraries included in the Software are subject to their own licenses. You can read the list and full texts under Settings > "使っているモデルとライセンス" (Models and licenses) in the Software.
  3. If the Software is a test version (including pre-release builds distributed through TestFlight or other channels), its features and display may change without notice.

Article 4 (Respect for the people being recorded)

  1. Before recording another person's voice or processing Recording Data with the Software, you must obtain any consent required by law from the people being recorded.
  2. You must not use Recording Data or Processing Results in a way that infringes the reputation, privacy or other rights of the people being recorded.
  3. If you use the feature that registers voice features to recognize people (the voice ledger), you must explain its purpose to each person you register and obtain their consent.

Article 5 (Handling of User Data)

  1. All rights in User Data remain with you (or the rightful owner). We acquire no rights in User Data.
  2. The Software processes Recording Data on your device in principle. We do not receive User Data except when you use the web version or when you yourself take an action to send it.
  3. If you use a feature that uses External Services, such as AI proofreading or summarizing materials, the User Data needed for that feature is sent to the External Service. The Privacy Policy describes which data each feature sends. Its handling there is governed by that provider's terms and privacy policy.
  4. Our handling of personal information is governed by the separate "Washa Privacy Policy".
  5. You are responsible for keeping your own copies of User Data. User Data may be lost because of defects in the Software, device failure, deleting the app or other causes.
  6. You are responsible for the content of what you send to us with "Send to the development team" (including the consent of the people recorded and the absence of confidential matters). We do not review or guarantee what is sent. Except where we act with intent or gross negligence, we are not liable for damages arising from sending.

Article 6 (Prohibited conduct)

When using the Software, you must not:

  • act in violation of laws, regulations or public order and morals;
  • record or process people without their consent, or otherwise infringe the rights of others;
  • decompile, disassemble or otherwise reverse engineer the Software, except as permitted by law;
  • copy, modify, redistribute, lend or sell the Software, except as permitted by third-party licenses;
  • place an excessive load on, or gain unauthorized access to, the Software or the systems used to provide it;
  • misuse another person's ID, password, share link or API key;
  • impersonate us or any third party; or
  • engage in any other conduct we reasonably consider inappropriate.

Article 7 (Intellectual property)

Copyrights and other intellectual property rights in the Software belong to us or to the rightful third parties. The license under these Terms does not transfer any of those rights.

Article 8 (Changes, suspension and termination of the Software)

We may change the Software, or suspend or end its provision, without prior notice. Where this would significantly affect you, we will give advance notice as far as reasonably possible.

Article 9 (Disclaimer of warranties)

  1. The Software is provided "as is". We do not warrant that the Software is free of errors, defects or interruptions, that transcripts, speaker segments or the recognition of people are accurate, or that the Software is fit for any particular purpose.
  2. Processing Results are machine estimates. You must check them yourself before relying on them for important purposes.

Article 10 (Limitation of liability)

  1. We are not liable for any damage you suffer from using or being unable to use the Software, except where it is caused by our willful misconduct or gross negligence.
  2. Where the exclusion in the preceding paragraph is not permitted by the Consumer Contract Act of Japan or other laws, our liability is limited to ordinary and direct damage caused by our negligence (excluding gross negligence), up to the amount you paid us for the Software in the 12 months before the damage occurred (or JPY 10,000 if you paid nothing).

Article 11 (Suspension of use)

If you breach these Terms, we may suspend your use of the Software, including your account for the web version, without prior notice.

Article 12 (Changes to these Terms)

  1. We may change these Terms in accordance with Article 548-4 of the Civil Code of Japan.
  2. When we do, we will announce the changed Terms and their effective date in the Software or on our website before the effective date.
  3. The Software will ask for your agreement to the changed Terms the first time you use it after the change.

Article 13 (Language)

These Terms are made in Japanese and English. If the two versions conflict, the Japanese version prevails.

Article 14 (Governing law and jurisdiction)

  1. These Terms are governed by the laws of Japan.
  2. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute between us and you arising from the Software or these Terms.
